COLORADO SPRINGS, Colo Occam Networks Inc., a specialist in broadband digital loop carriers, is paying $3.4 million in cash and forgiving $1.9 million in bridge financing to acquire most major assets of Terawave Communications Inc., a company that was one of the pioneers in passive optical networking.
While it is not clear what businesses will remain at Terawave following the sale, Occam announced Thursday (Sept. 27) it would make employment offers to certain Terawave employees, including members of the optical development and system development teams.
As part of the deal, Occam will pick up technology license agreements for silicon supply which Terawave holds with Ikanos Communications Inc. and Mindspeed Technologies Inc.
Occam will pick up all Terawave system-level technology for Gigabit PON interoperable with ITU G.984 standards, and will acquire all technology developed at Terawave for GPON physical interfaces. Occam also picks up Terawave technology based on Metro Ethernet standards.
Terawave has several existing carrier customers and an OEM pact with Fujitsu Telecommunications Europe Ltd., both based on supply of the TW family of BPON and GPON systems, Occam is acquiring the technology primarily to integrate PON subsystems into its own BLC 6000 loop carrier.
