Synopsys Acquires Systems Science, Inc.
Mountain View, Calif.--July 21, 1998--Synopsys Inc. (Mountain View) announced that ithas agreed to acquire Systems Science, Inc., a private company thatprovides advanced tools for electronic design verification and test.
The acquisition adds Systems Science's Vera testbench automation systemto Synopsys' suite of verification products to provide high-level functional validation of electronic systems designs. Systems Science also offers IDDQ test tools and waveform display and simulation and test database products.
The Vera testbench automation system has been successfully proven ondesigns of more than one million gates and is used by customers in the telecommunications, networking and computer industries. It is based on Vera-HVL, an object-oriented language developed specifically to meet the unique requirements of functional hardware verification. With Vera, users can develop self-checking testbenches that automatically generate reactivetests. During simulation, Vera monitors coverage points in the design anduses the results to generate new tests to cover untested areas. The ability toclose the feedback loop by using coverage results to tune the stimulus generation provides a mechanism available for achieving complete coverage.
The acquisition of Systems Science will be accounted for as a purchase,with Synopsys exchanging a combination of $26 million in cash, plus notes and assumed options for all outstanding shares and options of System Science. Based on preliminary estimates, Synopsys expects that a substantial portion of the total purchase price will be allocated to in-process research and development and will be charged to operations during the quarter ending September 30, 1998.
