Texas firm buys Chinese chip maker

LONDON – Diodes Inc. (Plano, Texas), a manufacturer of discrete, analog and application-specific semiconductors, is set to buy BCD Semiconductor Manufacturing Ltd. (Shanghai, China) in an all-cash deal valued at $151 million.

BCD was founded in 2000 and manufactures analog and mixed-signal ICs that is supplies to OEMs in China and elsewhere. BCD postponed an initial public offering of shares in 2008 and eventually conducted an IPO on Nasdaq in 2011.

"This proposed acquisition underscores Diodes' strategy to expand our market and growth opportunities through select strategic acquisitions," said Keh-Shew Lu, CEO of Diodes, in a statement.

He added that it would enhance Diodes' analog product portfolio by expanding our standard linear and power management offerings, including AC/DC and DC/DC solutions for power adapters and chargers. He added that it would increase Diodes' penetration in Asia and particularly in China and would also help sales of BCD products around the world.

The boards of both companies have approved the transaction, which is still subject to approval by BCD's shareholders, as well as other customary closing conditions and regulatory approvals. The transaction is expected to close late in the first quarter of 2013 or early in the second quarter.
